GOVERNING LAW AND JURISDICTION
- Governing law: the franchise agreement will specify the legal system or jurisdiction whose laws will govern the interpretation and enforcement of the agreement. this is usually the franchisor’s home state or country.
- Jurisdiction: the agreement may stipulate where legal disputes must be resolved, typically in the courts of the franchisor's location. this means that if a dispute arises, the franchisee may be required to litigate in the franchisor's jurisdiction.
- Arbitration or mediation: some agreements include provisions for arbitration or mediation,requiring the parties to resolve disputes outside of court through a neutral third-party mediator or arbitrator. this can be quicker and less expensive than litigation.
INTELLECTUAL PROPERTY PROTECTION
- Trademarks and branding: the franchise agreement will grant the franchisee the right to use the franchisor’s trademarks, trade names, logos, and other branding elements. the franchisee’s use of these materials is restricted to the terms outlined in the agreement, and any unauthorized use can lead to termination.

ASSIGNMENT AND TRANSFER
- Franchise agreements often contain assignment clauses that prevent franchisees from transferring or selling their franchise to a third party without the franchisor’s approval.
- The franchisor may have the right to review and approve any potential buyer or transferee to ensure they meet the franchisor's standards.
- In some agreements, the franchisor retains the right to purchase the franchise from the franchisee if the franchisee wishes to sell or transfer ownership.
WAIVER OF RIGHTS
